The tokenized digital securities described on this site (the "Tokens") are issued by Assetize Issuer PCC, acting through its Protected Cells. Each series is issued by a specific Protected Cell and is statutorily segregated from the assets and liabilities of every other Protected Cell and from the core of the issuer.
The Tokens have not been registered under the U.S. Securities Act of 1933, as amended, or the securities laws of any other jurisdiction, and may not be offered or sold within the United States or to any U.S. Person (as defined in Regulation S) unless so registered or an exemption applies. Assetize Issuer PCC is not, and will not be, registered as an investment company under the U.S. Investment Company Act of 1940, nor as an Alternative Investment Fund or Undertaking for Collective Investment in Transferable Securities in the EEA or United Kingdom, nor under the equivalent regimes of any other jurisdiction. Other jurisdiction-specific restrictions apply.
Where Tokens are offered under an approved prospectus, they may be offered in accordance with the terms of that prospectus, including (where expressly permitted) to retail investors in the relevant jurisdiction. Where Tokens are offered on an exempt or private-placement basis, they are offered only to qualified investors, professional clients, or the equivalent category in the relevant jurisdiction, and not to retail investors.
United Kingdom. Communication of the information on this site in the United Kingdom is directed only at persons falling within (i) Article 19(5) (investment professionals), (ii) Article 49(2) (high net worth companies), (iii) Article 48 (certified high net worth individuals), or (iv) Article 50A (self-certified sophisticated investors) of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005, or (v) any other person to whom it may lawfully be communicated. Where offered on an exempt basis, the Tokens are Non-Mass Market Investments under the FCA Handbook and may not be promoted to retail clients save as permitted under an approved prospectus.
Nature of the Tokens. The Tokens provide holders with economic exposure to the performance of their specified underlying asset, strategy or basket. The Tokens are not themselves shares, ETFs, or direct interests in the underlying assets, and do not confer rights to hold, vote in respect of, or directly receive them.
